RBI Addiko Shares Tender Offer Result Announced
Raiffeisen Bank International AG (RBI) has announced the result of its voluntary public tender offer for all Addiko Bank AG shares. The grace period for acceptance of the offer concluded on November 3, 2026. By this deadline, declarations of acceptance for a total of 18,688,243 Addiko shares were submitted, representing 96.79 percent of all shares subject to the offer.
The offer remains contingent on the fulfillment of specific conditions precedent, as detailed in Section 4.1 of the updated Offer Document. Regulatory approvals have been sought from competition authorities in several jurisdictions, with clearance already obtained in most, except Albania and Bosnia and Herzegovina. Banking supervisory authorities in Austria, Slovenia, Croatia, Serbia, Montenegro, and Bosnia and Herzegovina are also reviewing the applications, with Serbia's approval process already completed.
Settlement of the offer is scheduled to occur no later than ten trading days after all conditions precedent are met. All such conditions must be fulfilled by May 14, 2027. Upon successful completion and settlement, RBI anticipates holding a total of 18,688,557 Addiko shares, which would constitute 95.74 percent of Addiko's total current share capital.
RBI also noted that the planned carve-out of certain Addiko subsidiaries in Serbia, Bosnia and Herzegovina, and Montenegro now appears unlikely due to the revocation of Alta Banka’s banking license by the National Bank of Serbia. Consequently, RBI expects to retain all Addiko subsidiaries.
